Overview

Our corporate commercial practices thrives on prompt, frank and professional responses to clients and meticulous attention to details.

Our expertise covers a wide range of areas including conduct of legal due diligence; company secretarial services; mergers and acquisitions; corporate structure; registration of entities; free zone operations; derivatives; capital issue; employment and labour relations; staff incentive schemes and compensation; establishment of joint ventures; contracts; tax advisory; intellectual property;  corporate governance; board composition, induction, training and evaluation; and executive compensation. These services have been provided across various sectors including banking, energy, manufacturing, communications and aviation. Our corporate commercial practice also provides a strong link between our clients and their regulators, helping to timely secure approvals.

We provide company secretarial and legal advisory services to an electricity distribution company with exclusive distribution franchise across four states and to an independent energy company with interests in multiple upstream petroleum assets. Our partners were part of the team that supported a multi-billion dollar liquefied natural gas project in setting up structures and navigating the legal and regulatory environment. We have advised several companies on the establishment free zones or free zone entities and on the establishment of major infrastructure projects such as independent power plants, gas processing plants and fertilizer plants. On such projects we provide regulatory advice, advise on and assist with setting up project structures and draft and negotiate project and financing agreements.
