
Bio
Gideon is a consummate transaction adviser. He has over twenty-five years’ experience in legal practice with specialization in corporate/commercial law, energy and finance. He obtained a bachelor’s degree in law from University of Nigeria in 1997 and was called to the Nigerian bar in 1999. Gideon also gained an LL.M (with a distinction) in Petroleum Law and Policy from the University of Dundee, Scotland in 2006 and Masters in Business Administration (MBA) from Lagos Business School in 2020. Gideon is a member of Beta Gamma Sigma (BGS), the honours society of top MBAs from the world’s top business schools and the Association of International Energy Negotiators (AIEN). He has a certification in ethical leadership from the National Association of State Boards of Accountancy (NASBA) Center for the Public Trust, Nashville, USA. He is a chartered secretary and acts as company secretary to several companies including public limited companies.
Gideon has advised on many projects including power plants, cement plants, pipelines, seaports, fertilizer plants, telecommunication facilities, Liquefied Natural Gas (LNG) plants and gas gathering infrastructure. He also advised on the financing of several projects. Highlights of his experience include the following:
- Negotiated Gas Supply Agreements (GSAs), Gas Transportation Agreements (GTAs), power purchase agreements (PPAs) and a Partial Risk Guarantee between the Federal Government of Nigeria (FGN) and the World Bank for each of the ten greenfield power plants owned by the Nigerian federation.
- Acted as project counsel to an Independent Power Producer (IPP) and in that behalf negotiated PPAs, Put and call option agreements, GSAs and a GTA with International Oil Companies (IOCs), Nigerian Gas Company and Nigerian Bulk Electricity Trading Plc.
- Acted as borrower’s counsel in the US$ 900 million financing of the acquisition of an Oil Mining Lease.
- Acted a project counsel to an offshore drilling campaign of an independent oil company including drafting and negotiating all the project and financing agreements.
- Acted for the Nigerian Sovereign Investment Authority (NSIA) on a proposed fertilizer plant.
- Negotiated the acquisition of a Nigerian company by a major international manufacturing conglomerate.
- Advised the Nigerian Deposit Insurance Corporation (NDIC) on the establishment of three bridge banks and the subsequent purchase and assumption of the assets and liabilities of three Nigerian banks by the bridge banks.
