Energy and Natural Resources

Overview

Our energy and natural resources practices includes oil, gas, renewable energy and mining. Our practices cuts across the upstream, midstream and downstream sectors. We advise on financing, setting up project structures and joint ventures, acquisitions and mergers.

We conduct country entry due diligence for prospective foreign investors and legal due diligence on targets for acquiring companies. We also provide regulatory advice and assist our clients in obtaining licences from the Nigerian Upstream Petroleum Regulatory Commission, the Nigerian Midstream and Downstream Regulatory Agency, the Nigerian Electricity Regulatory Commission and other regulatory agencies. We negotiate, draft and advise on key project agreements such as joint operating agreements, farm-in agreements, technical services and funding agreements, crude sale agreements,  crude handling agreements, Gas Supply Agreements, Gas Transportation Agreements (GTAs), coal supply agreements and Power Purchase Agreements (PPAs).

Our team negotiated Gas Supply and Aggregation Agreements (GSAAs) GTAs, PPAs and a World Bank partial risk guarantee for each of the ten (10) National Integrated Power Project power plants owned by the Federal, State and Local Governments of Nigeria. We were also project counsel to a client’s offshore drilling campaign that involved the negotiation of scores of agreements across financing, shipping, drilling, project management, products transportation and logistics. We support power distribution companies in the procurement of embedded generation from renewable sources and franchising parts of their network.
